Terms of Service
Welcome to Social Sell (Xiaoshuqian International, “the Platform”, “we”, “us”). These Terms of Service (“Terms”) form a legal agreement between you and Anhui Whisper Technology Co., Ltd. regarding use of the Platform. By accessing or using https://www.social-sell.com and related services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please stop using the Platform.
1. Service Description
The Platform provides SaaS tools for e-commerce merchants related to influencer marketing and collaboration, including but not limited to account management, shop authorization, influencer discovery and outreach, task and template management, team collaboration, and Platform-managed business email sending and reply handling. We may update, adjust, or discontinue features from time to time and will notify you within a reasonable scope via website notices or other means.
2. Account Registration and Security
- You must provide true, accurate, and complete registration information and keep it updated;
- You are responsible for all activity under your account, must safeguard login credentials, and may not rent, lend, or transfer the account;
- If you discover unauthorized use or a security vulnerability, notify us immediately;
- We may restrict, suspend, or terminate account access when we reasonably suspect abuse, fraud, or illegal risk.
3. Acceptable Use
You agree to use the Platform lawfully and must not:
- Send spam, fraudulent messages, phishing content, or any messages that violate applicable anti-spam laws;
- Use purchased, scraped, or deceptively obtained contact lists for unsolicited bulk messaging;
- Infringe others’ intellectual property, privacy, publicity, or other legitimate rights;
- Interfere with or disrupt the Platform or third-party systems, or attempt unauthorized access;
- Use the Platform for any illegal activity or any conduct that violates TikTok Shop or other third-party platform rules.
If you use the Platform’s email features, you must have a lawful basis to contact recipients (such as an existing business relationship or clear consent) and are responsible for outbound content and recipient lists. We may rate-limit, disable sending, or terminate service for clear abuse.
4. Third-Party Services
The Platform may integrate TikTok Shop, Google Sign-In, SMS providers, email delivery (such as Mailgun), object storage, and similar third-party capabilities. When you use them, you must also comply with their terms and privacy policies. Interruption or change of a third-party service does not necessarily constitute our breach of these Terms, but we will assist with troubleshooting within a reasonable scope.
5. Intellectual Property
Intellectual property in the Platform’s software, interfaces, trademarks, copy, graphics, and other content (excluding business data you submit) belongs to us or the respective rights holders. Without written permission, you may not copy, modify, reverse engineer, rent, or redistribute the Platform or its components. Content you upload or create on the Platform remains yours or the original owner’s; you grant us a non-exclusive, worldwide license as needed to provide the service (including storage, processing, display, and transmission).
6. Fees and Subscriptions
Some features may be free; others may be charged by plan, usage, or subscription. Prices, billing cycles, and entitlements are as shown on the purchase page or in a written agreement. Except as required by law or otherwise agreed, fees already paid are generally non-refundable.
7. Disclaimer
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no express or implied warranties that the service will be uninterrupted, error-free, meet your specific commercial outcomes, or that third-party platform APIs will remain available. For interruptions or data delays caused by networks, third-party policy changes, force majeure, and similar events, we will try to restore service but do not assume liability beyond what the law requires.
8. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, punitive, or consequential damages arising from use of or inability to use the Platform (including loss of profits, goodwill, or data). Our aggregate liability to you shall not exceed the total fees you actually paid us for the relevant service in the twelve (12) months before the claim arose (or the minimum amount permitted by law if you used the service for free).
9. Termination
You may stop using the Platform and request account closure at any time. We may also suspend or terminate service if you seriously breach these Terms, as required by law, or to protect the Platform and other users. After termination, we will handle your data under the Privacy Policy and applicable law.
10. Updates to These Terms
We may revise these Terms from time to time. Updates will be published on this page with a new “last updated” date. Material changes will be communicated via in-product notice or other reasonable means. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People’s Republic of China (excluding conflict-of-law rules). Disputes arising from these Terms shall first be resolved through friendly negotiation; if negotiation fails, they shall be submitted to the people’s court with jurisdiction where we are located.
